ALL VIBE AI LLC is an independent software service provider. ALL VIBE AI is not owned, operated, endorsed, or controlled by GoHighLevel.

ALL VIBE AI licenses technology and infrastructure from GoHighLevel and other authorized third-party providers to deliver the Services. Certain portions of the Services - including but not limited to hosting, communications, messaging, storage, security, integrations, and infrastructure services - may be provided through GoHighLevel and other third-party vendors.

By using the Services, you acknowledge that:

• Some portions of the Services rely on third-party infrastructure outside the direct control of ALL VIBE AI.
• ALL VIBE AI shall not be liable for outages, interruptions, delays, policy changes, service modifications, pricing changes, or failures caused by GoHighLevel or any third-party provider.
• References to GoHighLevel in these Terms are solely for the purpose of identifying infrastructure providers.

To access certain features, you may be required to create an account. You agree to:

• Provide accurate and complete information during registration.
• Keep your login credentials confidential and secure.
• Maintain current and accurate account information at all times.
• Accept full responsibility for all activities occurring under your account.

ALL VIBE AI reserves the right to suspend or terminate accounts that contain false or misleading information.

Certain Services require payment of subscription fees. By subscribing, you agree that:

• Subscription fees are billed in advance on the applicable billing cycle.
• All fees are non-refundable unless otherwise stated in writing by ALL VIBE AI.
• Subscription plans automatically renew unless cancelled before the renewal date.
• ALL VIBE AI reserves the right to modify pricing with reasonable advance notice.
• Failure to make timely payments may result in suspension or termination of access to the Services.
• Any applicable taxes, duties, or levies are the sole responsibility of the customer.

You agree not to use the Services, directly or indirectly, to:

• Violate any applicable local, national, or international law or regulation.
• Send unsolicited communications, spam, or bulk messaging without proper consent.
• Engage in fraud, phishing, identity theft, or deceptive practices.
• Distribute malware, viruses, ransomware, or any harmful code.

• Infringe any intellectual property rights of ALL VIBE AI or any third party.
• Store or distribute unlawful, defamatory, or obscene content.
• Interfere with platform operations, security systems, or infrastructure.

Violation of this section may result in immediate suspension or permanent termination of your account without notice or refund.

The Services may include communication capabilities such as email campaigns, SMS messaging, voice calls, automated communications, and social messaging integrations. You are solely responsible for:

• Obtaining all required recipient consents in accordance with applicable law.
• Complying with all anti-spam laws, including CAN-SPAM, TCPA, and any applicable local equivalents.
• Complying with telecommunications regulations and carrier requirements.
• Ensuring all communications sent through the platform are lawful and appropriate.

ALL VIBE AI does not guarantee delivery, receipt, timing, or performance of any communication. Delivery may be affected by carrier restrictions, spam filters, internet service providers, platform limitations, or third-party systems beyond ALL VIBE AI's control.

Certain Services may utilize artificial intelligence technologies to generate content, suggestions, recommendations, or automated outputs.

You acknowledge and agree that:

• AI-generated outputs may contain inaccuracies, omissions, outdated information, or errors.
• ALL VIBE AI does not guarantee the accuracy, completeness, or reliability of AI-generated content.
• AI-generated content should always be independently reviewed before use or distribution.
• Users remain solely responsible for all decisions made based on AI-generated content.

ALL VIBE AI shall not be liable for any losses, damages, or claims arising from reliance on AI-generated information.

You retain full ownership of all information, content, files, communications, and data you submit to the Services ("Customer Data").

By using the Services, you grant ALL VIBE AI a limited, non-exclusive license to process, transmit, store, and use Customer Data solely for the purpose of providing and improving the Services.

ALL VIBE AI does not claim ownership of your business data. Customer Data may be processed through GoHighLevel and other authorized service providers as necessary to deliver the Services.

ALL VIBE AI retains all rights, title, and interest in and to its software, branding, logos, workflows, templates, documentation, training materials, AI systems, and all proprietary content ("ALL VIBE AI IP"). No ownership rights in ALL VIBE AI IP are transferred to users.

You may not:

• Reverse engineer, decompile, or disassemble the platform.
• Copy, reproduce, or redistribute proprietary materials without written permission.
• Resell or sublicense access to the Services without prior written consent.
• Create competing products or services using ALL VIBE AI's proprietary assets.

ALL VIBE AI provides tools and technology designed to support business operations. We make no representations or warranties regarding business outcomes.

ALL VIBE AI does not guarantee:

• Revenue increases or sales growth.
• Lead generation or customer acquisition results.
• Marketing performance or advertising outcomes.
• Recruitment, insurance production, or industry-specific results.
• Business success of any kind.

Results depend on numerous factors beyond ALL VIBE AI's control, including user execution, market conditions, and third-party performance.

Services are provided on an "AS IS" and "AS AVAILABLE" basis. ALL VIBE AI does not guarantee:

• Continuous, uninterrupted availability of the Services.
• Error-free or bug-free operation at all times.
• Compatibility with all devices, browsers, or third-party systems.

Scheduled maintenance, upgrades, technical issues, or third-party outages may affect service availability without notice.

To the maximum extent permitted by applicable law, ALL VIBE AI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost business opportunities, data loss, or business interruption, regardless of whether ALL VIBE AI has been advised of the possibility of such damages.

In no event shall ALL VIBE AI's total cumulative liability to you exceed the total amount paid by you to ALL VIBE AI during the twelve (12) months immediately preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless ALL VIBE AI LLC, its owners, officers, affiliates, contractors, and partners from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of or access to the Services.
• Your violation of any provision of these Terms.
• Your violation of any applicable law or third-party right.
• Any communications sent by you through the platform.
• Any content uploaded, submitted, or distributed by you.

ALL VIBE AI may suspend or terminate your access to the Services at any time, with or without prior notice, for reasons including but not limited to:

• Non-payment of fees.
• Material violation of these Terms.
• Fraudulent, abusive, or illegal activity.
• Security concerns or threat to platform integrity.
• Legal or regulatory requirements.

Termination of your account does not relieve you of any outstanding payment obligations or liability incurred prior to termination.

ALL VIBE AI may modify these Terms at any time. Updated Terms will be posted on the platform with a revised effective date. We will make reasonable efforts to notify users of material changes.

Your continued use of the Services after any update constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located within Wyoming, United States.
